1. Overview

This website is operated by NUVEA LLC ("Company", "we", "us", "our"), a Limited Liability Company registered in the United States. By accessing or using nayaintimates.com (the "Site") and the services offered, you ("you", "Customer") agree to be bound by these Terms of Service ("Terms").

If you do not agree with any part of these Terms, you may not access the Site or use any of our services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your country) to make a purchase. By placing an order, you confirm that you meet this requirement.

3. Products and pricing

All prices on the Site are displayed in your local currency where supported, with applicable VAT included for EU customers (under IOSS scheme for orders below €150). Prices and product availability are subject to change without notice.

We reserve the right to limit the quantities of any product or to refuse any order at our discretion.

We make every effort to display products and colors accurately. However, we cannot guarantee that your device's display will accurately reflect the actual color of the product.

4. Orders and payment

By placing an order, you make an offer to purchase products at the prices indicated. The contract of sale is formed when we send you an order confirmation email.

We accept payments through Shopify Payments, PayPal, and other methods displayed at checkout. Payment is processed in full at the time of order.

We reserve the right to cancel any order in case of suspected fraud, payment failure, stock unavailability, or pricing errors. In such cases, you will be fully refunded.

5. Shipping and delivery

Delivery details are governed by our Shipping Policy.

6. Returns and refunds

Returns, refunds, and the EU right of withdrawal are governed by our Refund & Returns Policy, including the hygiene exception applicable to intimate products.

7. Statutory warranty

EU consumers benefit from the 2-year statutory warranty for non-conformity, in accordance with EU Directive 2019/771. If a product is defective or not as described, you may request repair, replacement, price reduction, or refund.

8. Intellectual property

All content on the Site — including text, images, logos, designs, and the "Naya" name — is the property of  NUVEA LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or commercially exploit any content from the Site without our prior written consent.

9. User content

If you submit reviews, comments, photos, or other content to the Site or our social media channels ("User Content"), you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content for marketing and promotional purposes.

10. Prohibited uses

You agree not to use the Site:

  • For any unlawful purpose
  • To violate any international, national, or local laws or regulations
  • To infringe upon our intellectual property or the intellectual property of others
  • To harass, abuse, or harm another person
  • To submit false or misleading information
  • To transmit viruses or any malicious code
  • To interfere with the security features of the Site

11. Disclaimer of warranties; limitation of liability

The Site and our products are provided "as is" without warranties of any kind, except for warranties that cannot be excluded under applicable consumer protection laws (including the EU statutory warranty for consumers).

To the maximum extent permitted by law, NUVEA LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Site or our products.

Nothing in these Terms excludes our liability for fraud, gross negligence, or any liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold NUVEA LLC harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to your breach of these Terms or your violation of any law or rights of a third party.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

If you are a consumer in the EU, you also benefit from the mandatory consumer protection provisions of the country in which you reside. The European Commission provides an Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

14. Changes to these Terms

We reserve the right to update these Terms at any time. Changes take effect when posted on the Site. Continued use of the Site after changes constitutes acceptance of the updated Terms.
